1. About these Terms

These Terms of Service apply to the Flow & Code website and provide general terms relating to services offered by Flow & Code.

Flow & Code primarily works with businesses, agencies, startups and other professional clients, but may also provide services to individuals where agreed.

Specific projects, deliverables, fees, timelines and other commercial terms are agreed separately in a proposal, statement of work or other written agreement.

If there is a conflict between these Terms and a project-specific agreement, the project-specific agreement takes precedence.

2. Our services

Flow & Code provides digital strategy, website design, UX/UI design, website development, website migration, website optimisation, SEO and performance improvements, accessibility improvements, automation, integrations and ongoing digital growth support.

The exact services, scope and deliverables depend on the individual project agreement.

3. Project scope

Before a project begins, we may provide a proposal or statement of work setting out:

• Scope of work
• Deliverables
• Timeline
• Fees
• Payment schedule
• Client responsibilities
• Revision process
• Other project-specific terms

Work outside the agreed scope may require additional fees, a revised timeline or a separate agreement.

4. Client responsibilities

Clients are responsible for providing the information, content, assets, access credentials, approvals and feedback reasonably required to complete the agreed work.

Clients are responsible for ensuring that materials they provide may legally be used for the intended project.

Delays in providing required information, materials or approvals may affect project timelines.

5. Fees and payment

Fees and payment schedules are specified in the applicable proposal, statement of work, invoice or agreement.

Unless otherwise agreed, invoices are payable within the period stated on the invoice.

Where agreed payments become overdue, Flow & Code may pause work until the outstanding amount is resolved.

6. Revisions and approvals

The number and scope of revisions included in a project are determined by the applicable project agreement.

Requests outside the agreed scope may require additional fees or changes to the timeline.

Clients are responsible for reviewing and approving deliverables.

7. Intellectual property

Ownership and licensing of final project deliverables are governed by the applicable project agreement.

Unless otherwise agreed, Flow & Code retains ownership of pre-existing tools, components, systems, processes, methods, templates and know-how.

Third-party software, libraries, fonts, images, APIs, platforms and other third-party materials remain subject to their respective licences and terms.

8. Third-party services

Projects may depend on third-party platforms and services, including CMS platforms, hosting providers, APIs, analytics services, automation platforms, communication tools and other software.

Third-party services are subject to their own terms, availability, pricing and technical limitations.

Flow & Code is not responsible for outages, discontinued services, pricing changes, security incidents or other limitations caused by third-party providers, except where liability cannot legally be excluded or limited.

9. Website performance and business results

Flow & Code aims to deliver high-quality digital experiences and websites that support business goals.

However, we do not guarantee specific:

• Search engine rankings
• Traffic levels
• Conversion rates
• Lead volumes
• Revenue
• Advertising performance
• Business results

Results depend on factors outside our control, including market conditions, competition, customer behaviour, third-party platforms and the client's own marketing and business activities.

10. Client content and materials

Clients are responsible for ensuring that content, images, trademarks, data and other materials they provide do not infringe third-party rights or applicable laws.

Clients grant Flow & Code the permissions reasonably necessary to use those materials for the agreed project.

11. Confidentiality

Each party agrees to keep confidential information received from the other party confidential and to use it only for purposes related to the relevant business relationship.

This obligation does not apply to information that:

• Is publicly available
• Was already lawfully known
• Is independently developed
• Must be disclosed by law

12. Cancellation and termination

Cancellation or termination of a project is governed by the applicable project agreement.

Unless otherwise agreed, fees for work already completed and approved expenses already incurred remain payable.

Any statutory rights that cannot legally be excluded remain unaffected.

13. Liability

Flow & Code is liable in accordance with applicable law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability arising from intentional or grossly negligent conduct where legally applicable, injury to life, body or health, or other mandatory statutory liability.

To the extent legally permitted, liability for indirect or consequential losses may be limited according to the applicable project agreement and mandatory law.

14. Website content

The content published on this website is provided for general informational purposes.

We make reasonable efforts to keep the information accurate and current, but do not guarantee that all website content is complete, accurate or free from errors.

15. Changes to these Terms

We may update these Terms when our services, business practices or legal obligations change.

The current version will be published on this page together with its last updated date.

Existing project agreements remain governed by their applicable contractual terms unless otherwise agreed.

16. Applicable law

These Terms are governed by German law, subject to mandatory provisions of applicable law.

Where legally permissible, disputes will be subject to the competent courts.
